By accessing or using the services provided by OpenHealth.World ("Company," "we," "us," or "our"), including VieCare, VitalBuddy, and any related applications, websites, or services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not access or use our Services. These Terms constitute a legally binding agreement between you and the Company.
OpenHealth.World provides AI-powered healthcare documentation and assistance tools designed to support healthcare professionals. Our Services include, but are not limited to, AI-assisted clinical documentation, transcription services, and health information management tools.
IMPORTANT - PLEASE READ CAREFULLY:
(a) AI IS NOT INFALLIBLE: Our AI systems utilize machine learning and natural language processing technologies that, while advanced, are NOT 100% accurate. AI-generated content may contain errors, inaccuracies, omissions, or "hallucinations" (false information presented as fact). You acknowledge and accept that AI technology has inherent limitations.
(b) NOT MEDICAL ADVICE: Our Services are informational and assistive tools ONLY. Nothing provided by our Services constitutes medical advice, diagnosis, or treatment. Our AI tools do NOT replace the knowledge, skill, and judgment of qualified healthcare professionals.
(c) VERIFICATION REQUIRED: Users MUST independently verify all AI-generated content before use. Healthcare providers remain solely responsible for reviewing, editing, and approving all documentation and clinical decisions. Reliance on AI-generated content without verification is at your own risk.
(d) PROFESSIONAL RESPONSIBILITY: Healthcare professionals using our Services retain full responsibility for patient care, clinical decisions, and the accuracy of medical records. Our Services are tools to assist, not replace, professional medical judgment.
You agree to: (a) provide accurate and complete information; (b) maintain the confidentiality of your account credentials; (c) comply with all applicable laws and regulations, including healthcare privacy laws; (d) use the Services only for lawful purposes; (e) verify all AI-generated content before use; (f) not rely solely on AI-generated content for medical decisions; and (g) maintain appropriate professional liability insurance coverage.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) IN NO EVENT SHALL OPENHEALTH.WORLD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.
(b) OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS (USD $100), WHICHEVER IS GREATER.
(c) WE SHALL NOT BE LIABLE FOR ANY DAMAGES, INJURIES, OR LOSSES ARISING FROM: (i) ERRORS, INACCURACIES, OR OMISSIONS IN AI-GENERATED CONTENT; (ii) YOUR RELIANCE ON AI-GENERATED CONTENT WITHOUT VERIFICATION; (iii) CLINICAL DECISIONS MADE BASED ON OUR SERVICES; (iv) PATIENT OUTCOMES; (v) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVICES; (vi) ANY INTERRUPTION OR CESSATION OF OUR SERVICES; OR (vii) ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE TRANSMITTED THROUGH OUR SERVICES.
(d) SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT: (a) THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (b) THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE; (c) THE AI-GENERATED CONTENT WILL BE FREE OF ERRORS OR SUITABLE FOR ANY PARTICULAR PURPOSE; OR (d) ANY DEFECTS IN THE SERVICES WILL BE CORRECTED.
You agree to defend, indemnify, and hold harmless OpenHealth.World and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your reliance on AI-generated content; (e) any clinical decisions made using our Services; (f) any patient claims or complaints; or (g) your violation of applicable laws or regulations.
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof, are the exclusive property of OpenHealth.World or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content without our prior written consent.
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Hyderabad, India, in accordance with applicable arbitration rules. You waive any right to participate in class action lawsuits or class-wide arbitration.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Services after any changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and OpenHealth.World regarding the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of OpenHealth.World.
